8 Red Flags to Spot in a SaaS Contract Before You Sign

Auto-renewal clauses, usage caps, and data portability terms can cost you dearly. Know what to look for before you commit.

Most SaaS contracts are signed without being read carefully. The consequences surface months or years later: an auto-renewal clause that locks you in for another year, a data deletion timeline that's incompatible with your retention policy, or an indemnification clause that exposes you to unexpected liability.

1. Auto-renewal with short notice windows

A 30-day auto-renewal notice window means you must decide not to renew at least 30 days before your contract end date. Miss the window and you're locked in for another full year. Look for this clause and calendar the notice deadline immediately on signing.

2. Evergreen clauses

Some contracts auto-renew indefinitely and can only be terminated with notice at specific windows. Identify the exit mechanism before you sign.

3. Broad data usage rights

7. Unilateral right to modify pricing or terms

Some SaaS contracts include language that allows the vendor to modify pricing or terms during the contract term with as little as 30 days' notice. You want the ability to exit the contract under defined conditions — change of control of the vendor, material degradation of service, or failure to meet defined SLAs — without penalty. Vendors who resist including any customer termination rights warrant careful scrutiny before signing a multi-year commitment.

The most effective protection against problematic contract terms is a standardised review checklist that every SaaS contract above a defined threshold goes through before signing.
